9 MERIDIAN
Refund & Cancellation Policy
Effective Date: [5/09/2026]Last Updated: [5/09/2026]
1. Payment Structure
Unless otherwise agreed in writing, 9 MERIDIAN services use a two-part payment structure: a one-time setup/implementation fee and, where applicable, a recurring monthly subscription.
1.1 One-Time Setup / Implementation Fee
A one-time fee may cover system configuration, automation development, AI agent configuration, workflow design, integrations, testing, deployment, customization, and other agreed implementation activities.
1.2 Recurring Monthly Subscription
A recurring subscription may cover ongoing operation, hosting or infrastructure, monitoring, maintenance, support, AI or automation resources, integration management, and other recurring services specified in the applicable agreement.
2. 30-Day Setup Fee Refund
The Client may request a refund of the eligible one-time setup/implementation fee within 30 calendar days of the applicable payment. The request must be submitted through an official 9 MERIDIAN communication channel within that period. The 30-day period begins when the applicable payment is successfully received.
3. Conditions for a Setup Fee Refund
A setup-fee refund is subject to: (1) a request within 30 calendar days; (2) sufficient transaction information; (3) reasonable cooperation with the refund process; (4) provision of required Client access where applicable; (5) no material breach of the applicable agreement; and (6) exclusion of third-party amounts that have already been incurred and are non-refundable. The applicable MSA, SOW, proposal, or other written agreement may specify additional conditions.
4. What the Setup Refund Covers
The 30-day refund applies only to the eligible one-time setup/implementation fee charged by 9 MERIDIAN. It does not automatically include monthly subscription payments, third-party software fees, API charges, communication charges, hosting charges, payment-processing charges that cannot reasonably be recovered, or other external costs incurred on the Client's behalf.
5. Subscription Payments
Recurring monthly subscription payments are non-refundable once charged. Cancellation does not automatically create a refund of a subscription payment already processed. Subscription fees cover the applicable billing period and are not prorated unless expressly agreed in writing.
6. Cancellation
A Client may request cancellation of future subscription periods through an official communication channel. Unless the applicable agreement states otherwise, cancellation applies to future billing periods; amounts already charged remain non-refundable; outstanding amounts remain payable; and obligations that survive termination remain in effect. Cancellation should be requested before the next billing cycle.
7. Refund Request Process
A refund request should include the Client/business name, registered account email, invoice or transaction reference, payment date, amount paid, and reason for the request. 9 MERIDIAN may request reasonable additional information needed to verify the transaction.
8. Refund Processing
After receiving a valid request, 9 MERIDIAN will review eligibility. If approved, the refund will generally be initiated using the original payment method where reasonably possible. The time for funds to appear may depend on the payment processor, bank, card issuer, or other financial institution.
9. Third-Party Services
9 MERIDIAN may use third-party services, platforms, APIs, software, hosting providers, communication providers, AI providers, and other external services. Amounts already paid to third parties that are non-refundable may not be refundable by 9 MERIDIAN.
10. Client-Caused Delays
If implementation is delayed because the Client fails to provide required information, access, approval, content, technical requirements, or other reasonable cooperation, the delay does not automatically create a right to a refund.
11. Change of Mind
A Client's decision to discontinue a service does not automatically create a refund right. The setup-fee refund provision applies subject to this Policy and the applicable agreement. Subscription payments already processed remain non-refundable unless otherwise agreed in writing or required by applicable law.
12. Breach of Agreement
If a Client materially breaches the Terms of Service, MSA, SOW, or another applicable agreement, 9 MERIDIAN may restrict, suspend, or terminate services in accordance with that agreement. A Client's breach does not automatically create a right to a refund.
13. Fraudulent or Unauthorized Transactions
If a payment is believed to have been fraudulent or unauthorized, the Client should notify 9 MERIDIAN immediately. 9 MERIDIAN may investigate suspicious transactions and suspend relevant services while the investigation is conducted. This does not limit rights that cannot legally be waived.
14. Duplicate or Incorrect Charges
If a Client believes it was charged twice for the same service or was incorrectly charged, it should contact 9 MERIDIAN promptly. Where a duplicate or genuine billing error is confirmed, the incorrectly charged amount may be refunded or otherwise corrected.
15. Service Failure
A temporary service interruption, third-party outage, API failure, technical issue, or AI error does not automatically create a refund entitlement. 9 MERIDIAN will make reasonable efforts to investigate and resolve service issues. Any remedy will be determined under the applicable agreement.
16. Business Results
Refund eligibility is not determined solely by business performance. 9 MERIDIAN does not guarantee specific revenue, lead volume, appointment volume, conversion rates, reduction in manual work, or other commercial outcomes unless expressly stated in a written agreement.
17. Refund and Intellectual Property
A refund of a setup or implementation fee does not automatically transfer ownership of 9 MERIDIAN's underlying technology. 9 MERIDIAN retains ownership of its software, source code, automation frameworks, AI systems, tools, templates, reusable workflows, methodologies, infrastructure, libraries, system architecture, and other proprietary technology. Client-specific ownership or license rights are governed by the applicable written agreement.
18. Chargebacks
Before initiating a payment dispute or chargeback, Clients are encouraged to contact 9 MERIDIAN so the issue can be investigated. Nothing prevents a Client from exercising rights that cannot legally be waived. If a chargeback is initiated, 9 MERIDIAN may provide relevant transaction and service records to the payment processor or financial institution.
19. Legal Rights
Nothing in this Policy is intended to exclude or restrict any refund, cancellation, consumer, payment, or other legal right that cannot lawfully be excluded or restricted under applicable law. Mandatory applicable law will apply to the extent required.
20. Policy Changes
9 MERIDIAN may update this Policy from time to time. Updated versions may be published on the website or otherwise communicated to Clients. For existing Clients governed by a separate written agreement, that agreement may control where it contains different refund or cancellation provisions.
21. Relationship with Other Agreements
This Policy should be read together with the 9 MERIDIAN Terms of Service, applicable MSA, SOW, proposal, invoice, order, and other applicable written contractual documents. If a signed agreement contains a specific refund or cancellation provision that conflicts with this Policy, the signed agreement will control for that Client to the extent of the conflict.

You may access public portions of our website for legitimate purposes. You may not:
- interfere with operation or security;

We may modify, suspend, restrict, or discontinue portions of the website at any time.
4. User Accounts
Certain services require an account. You are responsible for accurate account information, credential security, authorized use, and promptly notifying 9 MERIDIAN if you reasonably believe an account has been compromised.
You must not share, sell, transfer, or improperly provide account access to unauthorized persons. We may suspend or restrict an account where we reasonably believe it is being used unlawfully, fraudulently, abusively, or in violation of these Terms.
02 — Client Data & Integrations
5. Information Provided by Users
You may provide information through our website, account, forms, onboarding process, communications, or integrations. This may include name, email, telephone number, company information, business requirements, project information, files, documents, billing information, configuration information, connected-service information, and other information reasonably necessary to provide services.
You are responsible for ensuring information supplied to 9 MERIDIAN is accurate, lawful, and provided with appropriate authorization. You must not knowingly provide fraudulent, malicious, unlawful, or system-compromising information.
6. Client System Access and Authorization
Certain automation services require 9 MERIDIAN to access systems controlled by the Client, including WhatsApp, websites, Gmail or other email services, calendars, CRMs, forms, communication platforms, APIs, databases, and other business systems.
By providing access, the Client represents that it has authority to provide it and authorizes 9 MERIDIAN to use the access solely as reasonably necessary to configure, operate, maintain, troubleshoot, or support the agreed services.
The Client remains the owner and controller of its third-party accounts unless otherwise agreed. Providing access does not transfer ownership of those accounts to 9 MERIDIAN. The Client remains responsible for required third-party licenses, subscriptions, permissions, and account standing.
7. Third-Party Services and Integrations
Services may depend on third-party platforms, software, APIs, communication providers, hosting providers, AI providers, payment processors, calendars, email providers, or other external services.
Third-party services are controlled by their providers and may have separate terms, privacy policies, fees, limitations, outages, or technical restrictions. 9 MERIDIAN does not control third-party services and cannot guarantee they remain available, unchanged, compatible, or error-free.
Providers may change APIs, pricing, functionality, technical requirements, usage limits, policies, permissions, or availability. Such changes may affect an automation.
Where reasonably practicable, 9 MERIDIAN may adapt an affected automation. Additional work or charges may apply where a third-party change requires substantial redevelopment outside the agreed scope.
03 — AI & Responsibilities
8. AI Services and Automation
9 MERIDIAN may use artificial intelligence, machine learning, automation technologies, third-party AI models, rules-based systems, and software integrations to provide services.
AI-generated or automated outputs may not always be accurate, complete, appropriate, or suitable for every situation. AI systems may produce incorrect information, incomplete responses, unexpected responses, misunderstood requests, or technical errors.
The Client remains responsible for reviewing and approving intended uses of automated outputs where appropriate. Automation assists business operations and is not a substitute for professional judgment where such judgment is required.
Unless expressly agreed in writing, 9 MERIDIAN does not guarantee that an AI system will understand every request, produce perfect responses, convert every lead, book every appointment, eliminate human intervention, operate without errors, or produce a particular business result.
Where appropriate, automation may be designed to escalate conversations or tasks to human personnel.
9. High-Risk and Professional Decisions
Unless expressly agreed in writing, 9 MERIDIAN's AI automation should not be relied upon as the sole basis for medical diagnosis, medical treatment decisions, legal decisions, financial decisions, emergency decisions, safety-critical decisions, employment decisions, or other decisions requiring qualified professional judgment.
The Client is responsible for appropriate human review and escalation procedures for sensitive or high-risk workflows.
10. Client Responsibilities
The Client is responsible for:
- providing accurate information and necessary access;
- maintaining active third-party accounts;
- paying applicable third-party charges;
- reviewing requirements and approving workflows where applicable;
- ensuring lawful use;
- obtaining required permissions and consents;
- ensuring automated communications are lawful;
- maintaining appropriate human oversight;
- informing 9 MERIDIAN of material changes affecting the service.
11. Prohibited Activities
You must not use the website, account, services, or automation systems to:
- violate laws or regulations;
- commit or facilitate fraud;
- impersonate another person or organization;
- distribute malware or malicious code;
- conduct unauthorized access attempts;
- engage in abusive or harassing conduct;
- send unlawful spam or unsolicited communications;
- infringe intellectual-property or privacy rights;
- collect or process information without authorization;
- circumvent platform restrictions or exploit vulnerabilities;
- reverse engineer proprietary systems;
- resell access without authorization;
- create harmful or deceptive automated communications.
04 — Ownership & Data
12. Intellectual Property
12.1 9 MERIDIAN Technology
9 MERIDIAN retains all rights, title, and interest in its underlying technology and intellectual property, including software, source code, automation frameworks, AI-agent architecture, internal tools, templates, reusable components, methodologies, processes, know-how, documentation, system architecture, libraries, configurations, improvements, and other technology developed or used by 9 MERIDIAN.
Nothing in these Terms transfers ownership of such technology to the Client.
12.2 Client Materials
The Client retains ownership of materials, data, trademarks, content, information, and other intellectual property that it independently owns and provides to 9 MERIDIAN.
12.3 Client-Specific Deliverables
Subject to full payment, ownership of specifically agreed Client-owned deliverables may transfer to the Client where expressly stated in the applicable proposal, SOW, or written agreement.
Unless expressly transferred in writing, reusable technology, frameworks, tools, templates, code, systems, and underlying infrastructure remain the property of 9 MERIDIAN.
12.4 License to Operate
The Client grants 9 MERIDIAN a limited, non-exclusive right to use Client-provided materials and information solely as reasonably necessary to provide the agreed services.
13. Confidentiality
Each party should take reasonable measures to protect confidential information received from the other party. Confidential information may include business strategies, technical information, credentials or access information, pricing, customer information, internal processes, proprietary systems, non-public documentation, and other information reasonably understood to be confidential.
Confidential information should not be disclosed to unauthorized third parties except where required by law, necessary to provide services through authorized service providers, authorized by the disclosing party, or publicly available through no breach of these Terms.
These obligations do not prevent use of information independently developed or lawfully obtained from another source.
14. Data and Privacy
9 MERIDIAN may collect and process information necessary to operate its website, accounts, communications, and services. Handling of personal information will be governed by the applicable Privacy Policy in addition to these Terms.
The Client is responsible for determining whether its intended use requires specific notices, consents, agreements, disclosures, or other legal requirements. Where the Client provides personal information belonging to customers, employees, patients, leads, or others, the Client is responsible for ensuring an appropriate legal basis and authorization.
15. Security
9 MERIDIAN will take reasonable measures appropriate to the service to protect systems and information under its control. No internet-connected system, software, integration, or transmission method can be guaranteed completely secure. The Client is responsible for secure credentials and authorized access.
05 — Commercial Terms
16. Fees and Payment
Unless otherwise agreed in writing, the service model consists of (1) a one-time setup/implementation fee and (2) a recurring monthly subscription fee.
Amounts, billing dates, scope, and payment conditions will be communicated through the relevant proposal, order, invoice, SOW, or agreement.
The Client must pay applicable fees on time. Third-party costs, software subscriptions, API charges, communication charges, hosting fees, or other external costs may be separate unless expressly included.
17. Setup Fee Refund Policy
The Client may request a refund of the one-time setup/implementation fee within 30 calendar days of the applicable payment, subject to the conditions stated in the applicable service agreement, proposal, or SOW.
A refund request must be submitted through an official 9 MERIDIAN communication channel. Where implementation work has already been performed, the refund may be subject to reasonable conditions stated in the applicable agreement.
Unless expressly stated otherwise, this refund provision applies to the eligible setup/implementation fee and does not automatically apply to recurring subscription charges.
18. Subscription and Cancellation
Recurring subscription fees are generally non-refundable once charged. A Client may cancel future subscription periods in accordance with the cancellation procedure and notice requirements communicated for its service.
Cancellation does not automatically create a right to reimbursement of amounts already charged. Outstanding amounts incurred before termination remain payable.
19. Service Availability
9 MERIDIAN will make reasonable efforts to provide and maintain services. Uninterrupted or completely error-free operation cannot be guaranteed.
Interruptions may result from maintenance, internet failures, hosting failures, API outages, third-party platform outages, third-party changes, cybersecurity incidents, infrastructure failures, force majeure events, regulatory changes, or other circumstances beyond reasonable control.
Where reasonably practicable, we may investigate and restore affected services.
06 — Support & Liability
20. Service Modifications
We may modify, improve, replace, suspend, or discontinue service features where reasonably necessary. Material changes affecting an active Client's agreed service will, where reasonably practicable, be communicated.
If a third-party provider changes its service in a way that materially affects an automation, 9 MERIDIAN may modify the implementation, substitute an integration, or discontinue affected functionality where continued operation is not reasonably possible. Additional development charges may apply for substantial out-of-scope changes.
21. Support and Maintenance
Support depends on the service package and applicable agreement and may include troubleshooting, configuration assistance, reasonable maintenance, monitoring of agreed workflows, correction of certain implementation issues, and reasonable assistance with supported integrations.
Support does not automatically include unlimited redevelopment, new features, major workflow changes, third-party migration, or unrelated technical work unless expressly included.
22. Warranties and Disclaimers
To the maximum extent permitted by applicable law, services are provided on an "as available" and "as is" basis.
9 MERIDIAN does not guarantee that services will always be available, automations will be error-free, AI responses will be accurate, integrations will remain compatible, leads will convert, appointments will result from automation, or any particular revenue or business outcome will be achieved.
We do not make guarantees of business performance unless expressly stated in a written agreement. The Client remains responsible for decisions made using information or outputs produced through the services.
23. Limitation of Liability
To the maximum extent permitted by law, 9 MERIDIAN will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from or related to services.
This limitation may include losses arising from third-party outages, API changes, platform restrictions, inaccurate AI outputs, communication failures, internet failures, Client configuration, unauthorized use of Client accounts, business decisions based on automated outputs, or circumstances outside reasonable control.
To the maximum extent permitted by law, 9 MERIDIAN's aggregate liability arising from a service will be limited to fees actually paid by the Client for the affected service, unless a separate written agreement expressly provides otherwise.
Nothing excludes liability that cannot lawfully be excluded or limited.
07 — Protection & Termination
24. Indemnification
To the maximum extent permitted by law, the Client agrees to defend, indemnify, and hold harmless 9 MERIDIAN and its officers, personnel, contractors, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from:
- the Client's unlawful use of services;
- violation of these Terms;
- unauthorized access supplied by the Client;
- infringement through Client-provided materials;
- unlawful communications sent through Client-controlled workflows;
- failure to obtain required permissions or consents;
- misuse of services by the Client or authorized users.
This does not apply to the extent a claim is caused by 9 MERIDIAN's own unlawful conduct or liability that cannot legally be transferred.
25. Suspension and Termination
9 MERIDIAN may suspend or terminate access where reasonably necessary if the Client materially breaches these Terms, fees remain unpaid, services are used unlawfully, an account creates a security risk, the Client abuses the platform, required third-party access is revoked, continued operation would violate law, or suspension is necessary to protect 9 MERIDIAN, its systems, users, or third parties.
Where reasonably practicable, we may provide notice and an opportunity to remedy a breach before termination.
Upon termination, access may cease; outstanding fees remain payable; and confidentiality, intellectual-property, liability, dispute, and other provisions intended by their nature to survive remain effective.
26. Force Majeure
9 MERIDIAN will not be responsible for delays or failures caused by circumstances beyond reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government actions, regulatory changes, widespread internet outages, infrastructure failures, major cybersecurity incidents, third-party platform failures, telecommunications failures, power outages, or other uncontrollable events.
Where reasonably practicable, the affected party will provide notice and take reasonable steps to mitigate impact.
27. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be posted on the website or otherwise communicated through appropriate channels and will generally become effective on the stated effective date.
Continued use after the effective date may constitute acceptance of revised Terms, subject to applicable law. For existing Clients governed by a separate written agreement, that agreement may control where it contains different contractual provisions.
08 — General Terms
28. Electronic Communications
By using our website or services, you consent to electronic communications relating to account activity, service administration, invoices, security, technical notices, service updates, contractual matters, and other communications reasonably necessary to provide services.
Electronic communications may satisfy legal requirements for written communications where permitted by applicable law.
29. Notices
Official notices to 9 MERIDIAN should be sent through official contact details published on the website or the communication channel specified in the applicable Client agreement. Notices to Clients may be sent to the email address or other contact information associated with the account or service relationship. The Client must keep contact information current.
30. Severability
If any provision is invalid, unlawful, or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible. Remaining provisions continue in effect.
31. No Waiver
Failure by 9 MERIDIAN to enforce a provision does not constitute a waiver of the right to enforce it or another provision in the future.
32. Assignment
The Client may not assign or transfer rights or obligations under these Terms without prior written authorization from 9 MERIDIAN, except where permitted by law. 9 MERIDIAN may assign or transfer these Terms in connection with restructuring, merger, acquisition, sale of assets, or similar transaction, subject to applicable law.
33. Independent Contractor Relationship
Use of services does not create a partnership, joint venture, employment, agency, or franchise relationship unless expressly agreed in writing. Neither party may bind the other except where expressly authorized.
34. Entire Agreement
These Terms, together with any applicable Privacy Policy, proposal, SOW, order, invoice, MSA, and other written agreements expressly incorporated into the Client relationship, constitute the applicable agreement regarding the relevant services.
If there is a conflict between these Terms and a separately signed agreement, the separately signed agreement controls to the extent of the conflict.
09 — Governance & Acceptance
35. Governing Law
These Terms are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles to the extent permitted by applicable law.
36. Dispute Resolution
In the event of a dispute arising from or relating to these Terms or the services, the parties will first attempt to resolve the dispute through good-faith negotiation.
If the dispute cannot be resolved through reasonable negotiation, it may be brought before the competent courts of India having appropriate jurisdiction.
Nothing in this section prevents a party from seeking urgent legal or injunctive relief where necessary to protect its rights.
